Terms of Service

These terms govern the services provided by Goodside ("we", "us", "our") to you ("the client", "you"). By engaging our services, you agree to these terms.
1. Services
Goodside provides website design and development, SEO, AI visibility services, and ongoing website maintenance for UK charities and community organisations. The specific scope of work for your project will be outlined in a proposal or agreement before work begins.
2. Proposals and agreements
Before starting any work, we will provide a written proposal outlining the scope, timeline, and cost. Work begins only after you have approved the proposal in writing (email is fine) and the first payment has been received.
Any changes to the agreed scope will be discussed and confirmed in writing before additional work is carried out. We reserve the right to adjust the price if the scope changes significantly.
3. Pricing and payment
Website projects are paid in three instalments:
- 40% on project commencement
- 30% when the build phase begins
- 30% on launch
SEO and visibility retainers are billed monthly in advance. There is a minimum commitment of 3 months, after which you may cancel with 30 days' notice.
Maintenance plans are billed monthly in advance and can be cancelled with 30 days' notice at any time.
All prices are quoted in GBP. Payment is due within 14 days of the invoice date. We reserve the right to pause work if payments are overdue by more than 14 days.
4. Your responsibilities
To keep your project on track, we need you to:
- Provide timely feedback when we share work for review
- Supply any materials we've agreed you'll provide (logos, photos, existing content)
- Make decisions and give approvals within a reasonable timeframe
- Designate a single point of contact for the project
Delays caused by late feedback or materials may push back the project timeline. We will always communicate any impact to the schedule.
5. Content
Where we provide content support (drafting, editing, or refining website copy), this is based on information you provide during discovery calls and any existing materials you share with us. You are responsible for reviewing and approving all content before it goes live.
You confirm that any materials you provide (text, images, logos) are either owned by you or you have permission to use them. We are not liable for any copyright issues arising from materials you supply.
6. Intellectual property
Your website: Once the project is complete and all payments have been made in full, you own the website, its content, and all custom design work we have created for you.
Third-party components: Your website may include third-party tools, plugins, or software (such as WordPress, themes, or plugins). These remain subject to their own licences. We will inform you of any third-party components used.
Our portfolio: We reserve the right to feature your project in our portfolio and case studies unless you tell us otherwise in writing.
7. Website hosting and domains
Unless otherwise agreed, you are responsible for your own hosting and domain name registration. We are happy to recommend providers and assist with setup. If we manage hosting on your behalf, this will be covered under a separate maintenance agreement.
8. Support and maintenance
Every website project includes a support period as outlined in your proposal. During this period, we will fix bugs, answer questions, and make minor adjustments at no extra cost.
After the support period, ongoing maintenance is available through our Care plans. Support does not cover new features, major redesigns, or issues caused by third-party changes you have made to the site.
9. SEO and visibility services
SEO and AI visibility work is an ongoing process. We do not guarantee specific rankings, traffic levels, or positions in AI-generated results. What we do guarantee is that we will apply current best practices, report honestly on progress, and always act in your best interest.
Search engine algorithms and AI tools change frequently. Our strategies will adapt accordingly, and we will keep you informed of any significant changes that affect your visibility.
10. Cancellation and refunds
Website projects: If you need to cancel after work has begun, you will be invoiced for work completed to date. Any unused portion of a payment will be refunded within 30 days.
Retainers: You may cancel monthly retainers (SEO, visibility, maintenance) with 30 days' written notice after any minimum commitment period. No refund is given for the current month's payment.
If we need to cancel: In the unlikely event we cannot complete your project, we will refund any payments for work not yet delivered and provide you with all files and materials completed to date.
11. Liability
We take care to deliver quality work, but we cannot be held liable for:
- Loss of income, data, or business arising from the use of your website
- Issues caused by third-party services, hosting providers, or plugins
- Changes made to the website by you or others after handover
- Downtime or performance issues beyond our control
Our total liability for any claim related to our services is limited to the total amount you have paid us for the project or service in question.
12. Confidentiality
We will treat all information you share with us as confidential. We will not share your data, documents, or project details with third parties except where necessary to deliver the agreed services (for example, sharing with a developer working on your project).
13. Governing law
These terms are governed by the laws of England and Wales. Any disputes will be resolved through good-faith discussion first. If a resolution cannot be reached, disputes will be subject to the jurisdiction of the courts of England and Wales.
14. Changes to these terms
We may update these terms from time to time. Any changes will be posted on this page. For existing clients, we will notify you of any changes that affect your current agreement.
